Terms of Service

1. About these terms

GetOrderOnline is an online ordering platform for local stores and restaurants. It is run by SaaS Simplify Solutions, based in Surrey, BC, Canada. In these terms, "we", "us" and "our" mean SaaS Simplify Solutions. "You" means whoever is using the website or the platform.

These terms apply when you visit our website, ask us about the platform, or use the platform as a store. Please read them. If you don't agree with them, please don't use the website or the platform.

2. Who these terms apply to

There are three kinds of users. The rules differ a little for each.

  • Website visitors. If you browse our website, book a demo, fill in a form or apply to be a partner, these terms apply to that use.
  • Stores. A "store" is a business (for example a restaurant, liquor store, grocer or convenience store) that uses GetOrderOnline to sell online, along with its owners and staff who have logins. Every store signs our Merchant Services Agreement before it goes live. Some stores also sign an offer page with special terms. These terms apply to stores too. If anything in these terms differs from a store's signed agreement or offer page, the signed document wins.
  • Shoppers. If you order from a store that uses GetOrderOnline, you are buying from that store, not from us. The store is the seller. Section 4 explains how this works. Your order is also covered by the store's own policies (refunds, privacy, terms) and by the ordering terms linked at that store's checkout.

3. What GetOrderOnline does, and what it doesn't

GetOrderOnline is software. A store uses it to run its own online store and take orders for pickup or delivery. It also uses it to take card payments into its own Stripe account, book couriers (where couriers serve the area), send order updates, and keep in touch with its customers.

We are a technology provider. We are not:

  • the seller of any product on a store;
  • a liquor, tobacco or food licensee, or a pharmacy;
  • a courier company, or the employer of any driver;
  • a bank or payment processor. Customers' payments go to the store's own Stripe account, not to us.

We don't buy, own, handle, store or deliver the products sold through the platform.

4. If you order from a store

  • The store is the seller. The store sets its products, prices, delivery fees, hours, stock and policies, and is responsible for them. That includes the quality and safety of what it sells and any allergen information. Your contract for the order is with the store.
  • Price and fees. Checkout shows the full price before you pay: items, delivery fee, any service charge or bag fee, bottle deposits where they apply, taxes, and the tip you choose. The store confirms your order when it accepts it. It may decline or cancel an order. If it does, you aren't charged for anything it can't provide.
  • Payment. Your card is processed by Stripe, a payment company, and the payment goes to the store's Stripe account. We never see or store your full card number.
  • Tips. On a delivery by a courier company, your tip goes to the courier who delivers your order. On pickup orders and on deliveries by the store's own staff, the tip stays with the store for its staff.
  • Delivery. The store's own staff deliver your order, or the store books a courier from an independent courier company where couriers serve your area. Delivery times are estimates. If a courier company delivers your order, it and its driver may text or call you about that delivery. Our privacy page explains what details they receive.
  • Age-restricted products. You must be of legal age where you order and receive age-restricted products (for example alcohol). In British Columbia that is 19. Stores ask you to confirm your age before you order. They will only hand these products to someone of legal age who shows valid ID when asked, and they may refuse anyone who appears intoxicated. A refused order may not be refunded in full. The store's own policy says what applies.
  • Problems with an order. Contact the store first. Its contact details are on its website and in your order confirmation. Refunds and returns follow the store's policy. If you can't reach the store, or the problem is with the website itself, email us at [email protected] and we'll help where we can.
  • Nothing in these terms takes away any right you have under consumer protection law.

5. Store accounts

  • Who can sign up. A store account is for businesses only. The person who sets it up must be at least the age of majority where they live, and must have authority to bind the business.
  • Getting started. We set up each store with its owner. Before a store goes live it must sign the Merchant Services Agreement, open and verify its own Stripe account, and give us the documents we ask for. These can include a business registration, a tax registration, licences and proof of insurance. We may decline to set up a store, or delay its go-live, if something is missing or we can't verify it.
  • Accurate information. Keep your business, contact, tax and licence details true and current. Tell us within 2 business days if a licence you need is suspended, cancelled or not renewed.
  • Logins and staff. Give each staff member their own login, with only the access they need. Keep passwords safe, and remove people who leave. You are responsible for what happens under your store's logins. Tell us right away if you think someone got in without permission.
  • Help in your portal. With your permission, our team may sign in to your store's portal to set it up or help you.

6. Fees and billing (stores)

  • What you pay us. A monthly plan fee and a flat fee per order. Our pricing page shows both, along with any add-ons you choose. The per-order fee depends on your plan and your type of store. It also applies to pickup orders paid in store, which we bill monthly. Your portal shows the fees that apply to your store. Taxes such as GST and PST are added where the law requires.
  • Costs paid to others. Stripe charges its card processing fee directly to your own Stripe account. When a courier company delivers an order, you pay the delivery cost and the customer's courier tip. We collect both from that order's payment, together with our per-order fee, when the courier picks up the order. You set the delivery fee your customers pay. Anything we can't collect that way goes on your next invoice from us.
  • Offers. A sign-up offer, founding price, launch credit or referral reward applies only as written in a signed offer page or in your portal. A conversation, ad or web page alone doesn't create one.
  • Changes to fees. We give at least 30 days' notice before we increase a fee. If you don't agree, you can end your agreement before the increase starts.
  • Unpaid bills. If a payment fails and isn't fixed, we may limit or pause your account as your agreement explains.
  • Ending a plan. How and when a plan ends, and what happens to your data, is set out in your Merchant Services Agreement.

7. What stores are responsible for

As the seller, each store is responsible for its business and its sales. In particular, each store must:

  1. Hold every licence and permit it needs, keep them current, and follow their conditions. Where a licence requires it, the store shows its licence details on its online store.
  2. Follow the rules for age-restricted products. This covers alcohol, tobacco, vaping products and anything else with a minimum age. Keep the platform's age checks switched on and set the right minimum age. Hand these products over only to someone of legal age with valid ID, and refuse anyone who appears intoxicated. Follow the hours, delivery and food rules in your licence. Make sure your own staff who deliver or hand over these products meet any training and age rules that apply to them.
  3. Not send age-restricted products with a courier company unless we have told you in writing that courier delivery of those products is switched on for your area. Until then, deliver them with your own staff or offer pickup.
  4. Not sell banned products. These include prescription drugs, cannabis, weapons, counterfeit or stolen goods, and anything the store isn't licensed to sell or that is illegal where it is sold or delivered. The full list is in the Merchant Services Agreement.
  5. Keep menus, product details and prices accurate. This includes sizes, options, allergen and dietary information, deposits and stock. Every mandatory fee must be shown in the price customers see before they pay.
  6. Set up and pay its taxes. That means the right tax settings, and collecting, reporting and paying the sales taxes, deposits and levies on its sales. The platform calculates tax from the settings the store enters. We don't give tax advice.
  7. Publish and honour its own store policies (refunds and returns, privacy, terms of sale), and deal with its customers' questions, refunds and card disputes.
  8. Use customer information properly. Use it only to fill orders, serve customers and send marketing to people who agreed to it, as Canada's anti-spam law (CASL) requires. Only import contact lists you have consent for.
  9. Prepare and pack orders so they are accurate and safe to carry. Give realistic ready times. When you use courier delivery, follow the courier company's rules for businesses (see section 8).
  10. Pass tips on to staff when the tip is for your staff, and never tell customers a tip goes to anyone who doesn't receive it.
  11. Own or have permission for everything it uploads: logos, photos, menus and text.

8. Third-party services

The platform works with other companies' services. They run under their own terms and privacy policies:

  • Stripe processes card payments. Each store opens its own Stripe account and accepts Stripe's terms for connected accounts (the Stripe Connected Account Agreement). Stripe decides when payouts are made.
  • Courier companies. Where couriers serve the area, the platform can book a courier from an independent on-demand courier company. These companies and their drivers aren't our employees or agents. They decide where and when they deliver and which items they carry. Before courier delivery is switched on for a store, the store must accept the courier company's own terms for businesses, which we give to the store.
  • Other service providers handle hosting, text messages, email, maps, images, analytics and AI drafts for us. Our privacy page explains what they receive.

We're not responsible for a third party's service, outages or decisions. Where a courier company gives a credit for a problem with a store's order, we pass it on to the store as the Merchant Services Agreement explains. Links to other websites are for convenience only.

9. AI features

Some tools in the store portal use AI to write drafts, such as campaign ideas, replies to customer questions, blog posts and customer summaries. AI drafts can be wrong. A person at the store reviews each draft and decides whether to use it. The platform never sends or publishes an AI draft by itself. The store is responsible for what it sends or publishes. The "What should I eat?" helper on restaurant stores suggests dishes. It isn't allergy or dietary advice.

10. Acceptable use

Everyone who uses the website or the platform agrees not to:

  • break the law, or help anyone else break it;
  • place fake or fraudulent orders, or use stolen payment details;
  • send spam, or messages to people who haven't agreed to get them;
  • upload anything false, misleading, infringing, hateful or harmful;
  • try to get into accounts, stores or data that aren't yours, or test, probe or get around our security;
  • overload, disrupt, scrape or copy the website or the platform, or use bots to do so, except for search engines that follow our robots.txt file;
  • copy, resell or rent out the platform, or reverse-engineer it, except where the law allows;
  • pretend to be someone else, or suggest a connection with us that doesn't exist.

11. Our content and yours

  • Ours. We own the website, the platform and the GetOrderOnline name and logo, including our text, designs, videos and software. You may view and share our pages for normal personal or business use. Please don't copy them for your own product or marketing.
  • Yours (stores). You keep ownership of your logos, photos, menus and other content. You give us permission to use them to run and show your online store, and in the other ways your Merchant Services Agreement describes.
  • Feedback. If you send us ideas or suggestions, we may use them freely, with no obligation to you.
  • Other companies' names. Names of other companies and products on the website belong to their owners. Mentioning them doesn't mean they endorse us or that we're partnered with them.

12. Information on the website

The website describes the platform and how it works. Examples, demo stores, savings examples and pictures of screens are illustrations, with made-up stores and numbers. They aren't results that any real store got. Third-party statistics are shown with their source. We don't promise any number of orders, any amount of sales or savings, or any search ranking. Features can differ by plan and by type of store. Some features depend on third parties (for example, courier delivery only works where couriers serve your area). Your portal and your agreement show what your plan includes.

13. Disclaimers

We work hard to keep the website and the platform accurate, secure and running. But we provide them "as is" and "as available". To the extent the law allows, we don't promise that they will always be available, uninterrupted or free of errors, or that they will suit a particular purpose. Nothing in this section limits any warranty or right that the law says can't be excluded.

14. Limits on our liability

To the extent the law allows:

  • We aren't liable for indirect losses, such as lost profits, lost sales, lost data or damage to reputation, or for special or punitive damages.
  • We aren't liable for the products a store sells, for a store's acts or decisions, or for a courier company's or driver's acts.
  • For stores, our total liability is limited as set out in the Merchant Services Agreement.
  • For website visitors and shoppers, our total liability for any claim about the website or the platform is limited to C$100.

These limits don't apply to anything the law says can't be limited, such as liability for fraud. They don't take away rights you have under consumer protection law.

15. If you misuse the platform

If a store, or anyone using a store's account, breaks these terms, its agreement or the law, and that leads to a claim, fine or penalty against us, the store is responsible for it. The Merchant Services Agreement explains exactly how.

16. Suspending or ending access

  • We may suspend or end a website visitor's access if they break these terms.
  • We may pause a store, or remove a product, straight away if a required licence lapses or is suspended; we reasonably believe the store is selling something banned or breaking the law; we reasonably suspect fraud; a regulator, Stripe or a courier company requires it; or the account is seriously overdue. Where it is safe and lawful, we tell the store why and give it a chance to fix the problem.
  • How a store's agreement ends, notice periods, final bills and exporting data are covered in the Merchant Services Agreement.

17. Privacy

Our privacy page explains what information we collect, who we share it with and your choices. Our text message terms explain the texts we send for stores and how to stop them. When you order from a store, that store's privacy policy also applies.

18. Governing law and disputes

These terms are governed by the laws of British Columbia and the federal laws of Canada that apply there.

If you have a problem, please email us first at [email protected] so we can try to sort it out. If we can't, the courts of British Columbia will decide the dispute. If you are a consumer and the law where you live gives you the right to bring a claim in your local courts, or to rely on your local consumer protection law, this section doesn't take that right away.

19. Changes to these terms

We may update these terms as the platform changes. The date at the bottom of this page shows the latest version.

  • For stores, we give at least 30 days' notice by email or in the portal before a change that affects them takes effect, except changes the law requires sooner. If a store doesn't agree, it can end its agreement before the change starts.
  • For website visitors and shoppers, changes apply from the date they are posted, to use of the website after that date.

20. General

  • These terms, the documents they mention and, for stores, the signed Merchant Services Agreement and any offer page are the whole agreement about the website and the platform.
  • If any part of these terms can't be enforced, the rest still applies.
  • If we don't enforce a right straight away, we haven't given it up.
  • We may transfer these terms to a company that takes over our business, with notice to stores.
  • Neither of us is responsible for delays caused by events outside our reasonable control.
  • These terms are written in English.
